| Xperedon’s business model is based on the deployment of proprietary “state-of-the-art” technology to deliver cost-effective and commercially sustainable services to charities and their donors. Put simply, our use of technology, as opposed to a burdensome overhead structure, means that we can provide our services to you with no registration or on-going membership costs. |

| We provide a range of services to charities, designed to enhance and improve fundraising. Donations are generated in a variety of innovative ways and are collected and processed by us on behalf of charitable organisations. We send these donations periodically to charities following the deduction of a 5% service fee, and any incidental bank charges and taxes if applicable. Charities do not need to register and there is no annual fee for inclusion or membership, however doing so gives access to a variety of additional (and free), services, products and administration tools. Xperedon takes a service fee only where funds are collected via its platform. |

| Our services are provided free of charge because we believe in our product and the commercial advantages it can bring to your organisation. We derive revenue from the funds flowing through our platform. There are no hidden charges for either Charities or Donors. |

| We list charities from over the world on our database. Charities benefit generally from Xperedon’s presence on the web. Donations can be processed in most countries and in all major currencies. |

Level playing field |

| All charities, large or small, have an individual profile page with the same layout, designed to present the charity information and images in a simple, clear and attractive way. Charities listed on the Xperedon database are also provided with their own Xperedon website free of charge. |

| Any charity can apply for inclusion on the Xperedon platform and any site visitor can suggest that their favourite causes are included. |

Zero investment for charities |

| Competing in the online world is a technical and costly challenge. Xperedon provides a no-cost, globally accessible platform that allows donors from all over the world to support your organisation. |

| The technical platform that we use means that we can collect even very small donations online in a way that would not otherwise be feasible or cost effective for charities to collect individually. |

| Xperedon invests heavily in promoting its platform via Search Engine Optimisation and a variety of other means. Association with Xperedon means that your organisation has a much higher chance of visibility on the internet. Our revenue is entirely contingent on us raising money for you. |

Flexibility |

| Via their account login, Charities can change or replace text or images in their profile page. At any time a charity can ask to be de-listed from our database. |

How it works |

Charity enrolment |
| |
| Charities are listed on the Xperedon web-site based on the company's own data mining, donors' suggestions, or charity requests. Most “not-for-profit” organisations can be included in our listings, provided that they have a record of charitable activity, a web-site, are accredited (for those countries where accreditation is required) or have a recognised quality label. We will not list charities with political objectives or dubious activities. We may also reject listing of Charities suggested by Donors or by charities themselves if we think that they are not suitable. Equally we may de-list any charity that for any reason we consider no longer suitable for inclusion. Charities can register at any time and apply to take over management of their listing. Once they do this they have access to a vast range of functions within the platform. |
| Before contributions received from donors are forwarded by Xperedon to a particular charity for the first time, we may conduct additional due diligence in order to conform with applicable legislation and our own standards of acceptance. |

Charity profile page |
| |
| We compile each charity's page on our web-site based on an identical protocol. All data and images contained in that page are based on content from the charity's own web-site. All data and material collected and presented in the charity profile page remains the property and/or the copyright of the charity and are used exclusively by us for the promotion of that charity. Charities may request corrections or adjustments of their webpage on Xperedon's site at any time, or can directly mange this themselves via their own administration pages. |

Fees, donations and payments to charities |

| We do not charge charities for inclusion in our listings. We make a charge of 5% on any money that we collect. We deduct this fee (and any card processing costs where applicable) from the proceeds we raise for a charity but only where we are permitted by the recipient charity to do so on an on-going basis. Usually this results in about 93% of the proceeds reaching the Charity. |

| As soon as we start to receive cash contributions from donors for a newly listed charity, we contact the charity, seeking communication of the charity's bank account, and where applicable, additional information on the charity's tax status, credentials and standing. |

| The aggregated donations in respect of each charity are usually effected on the last working day of the month following the month during which contributions were received by us from donors. If combined donations are not meaningful, we may delay sending the funds until the sum is greater, therefore reducing bank charges. |

| Xperedon takes your privacy seriously and does not use any of the data provided to us for any purpose. If we ever want to do this we will ask your permission first. Xperedon is authorised by the U.K. Financial Services Authority (FSA) under the Payment Service Regulations 2009 FRN: 544203 for the provision of payment services. |

Communicating with Xperedon |

| In order for Xperedon to process any donations received on a charity's behalf that charity needs to provide us its banking details and VAT or sales tax status (exempt/non-exempt) where relevant. Xperedon's collection of donations on a charity's behalf is subject to the terms & conditions accessible here. When a charity sends us its banking references, we will assume that it has accepted these terms and conditions. |

| Charities are encouraged to contact us (here) and to request their inclusion in Xperedon's listings, to correct, add or replace the content of their profile page. |

Charities opt-out |
| |
| If a charity wishes to opt-out from our listings it may do so at any time by sending us an email stating that they wish to be removed. We'll take the necessary steps to confirm that the request came from an authorised source, and will remove the charity from our listings in the following few days. |

| Whenever a charity elects to opt-out it will received all donations collected but not yet remitted, and normal fees will be charged. If a charity opts-out before it has received its first payment, all monies raised for that charity will be remitted in full, and without the deduction of Xperedon's fee. Xperedon reserves the right to refuse re-enrolment of a charity that has previously opted out. |

| Xperedon will inform any donors that have selected to make donations to a charity that has been de-listed so they can change their account settings accordingly. |
